Terms & Conditions

1. Interpretation

Key Definitions:

• Contract: The agreement between the Customer and Depawater Limited (“the Supplier”) for the purchase of Goods and/or Services, incorporating these Conditions and any relevant Installation and Maintenance Instructions.
• Customer: The individual or entity purchasing Goods and/or Services from the Supplier.
• Customer’s Equipment: Any equipment, systems, cabling, or facilities provided by the Customer for the supply of Services.
• Customer Input: Site preparation works and all documents, information, and materials provided by the Customer related to the Services.
• Delivery Address: The address specified in the Customer’s order or the Supplier’s principal place of business.
• Goods: All goods manufactured or supplied by the Supplier or its agents, subcontractors, consultants, and employees in relation to the Services.
• Services: Installation and commissioning of tanks by the Supplier, along with any other services provided under the Contract.
• Installation and Maintenance Instructions: Site preparation and facilities required by the Supplier for the provision of Goods and Services.
• VAT: Value Added Tax applicable under English law.

2. Basis of Contract

• The Contract is formed when the Supplier accepts the Customer’s purchase order or the Customer accepts the Supplier’s quotation.
• These Conditions apply to the Contract to the exclusion of any other terms the Customer seeks to impose.

3. Supply of Goods and Services

• The Supplier shall supply the Goods and Services to the Customer in accordance with the Contract.
• The Supplier shall use reasonable endeavors to meet any performance dates specified but such dates are estimates only.

4. Customer’s Obligations

• The Customer shall:
  • Provide the Supplier with access to the Delivery Address and Customer’s Equipment.
  • Ensure that the Delivery Address is prepared in accordance with the Supplier’s Installation and Maintenance Instructions.
  • Obtain and maintain all necessary licenses, permissions, and consents required for the Services.

5. Charges and Payment

• The price for Goods and Services shall be as set out in the Contract.
• The Supplier shall invoice the Customer, and the Customer shall pay each invoice within 30 days of the invoice date.
• All amounts payable are exclusive of VAT.

6. Intellectual Property Rights

• All intellectual property rights in or arising out of or in connection with the Services shall be owned by the Supplier.

7. Limitation of Liability

• The Supplier’s total liability shall not exceed the price paid for the Goods and Services.
• The Supplier shall not be liable for any indirect or consequential loss.

8. Termination

• Either party may terminate the Contract with immediate effect if the other party commits a material breach.

9. General

• The Contract constitutes the entire agreement between the parties.
• No variation of the Contract shall be effective unless in writing and signed by both parties.
• The Contract shall be governed by and construed in accordance with the law of Northern Ireland.
